Reminder to businesses: Review your filing docs

Reminder to businesses: Review your filing docs

Secretary of State Kim Wyman is reminding businesses to look carefully at their corporation and limited liability company (LLC) filing documents, which are processed through her agency’s Corporations and Charities Division. This is important information that should be reviewed regularly, Wyman said. Failure to file an annual report could create challenges for corporations and LLCs, like difficulty obtaining or renewing different types of business licenses.  It can also impact the ability to obtain financing or to win contracts, create legal…

Sneaky tactics still targeting businesses

Sneaky tactics still targeting businesses

In early September, we blogged about our Corporations and Charities Division receiving calls about a mysterious notice to file annual minutes for shareholders, directors and officers. According to Corporations Division staff, these mysterious calls have picked up again, big-time. Corporations and Charities Division Director Pam Floyd has turned over the information the division has received to the…

Is that official certificate legit?

Is that official certificate legit?

Oh boy. Not again! Our Corporation Divisions has discovered (yet again) that at least two online investment companies are posting phony “certificates” on their sites that claim they are registered with our office – but careful inspection shows these made-up docs actually display another company’s UBI number! And the investment companies aren’t anywhere in our databases! It’s pretty clear these businesses are trying to pull the wool over somebody’s eyes. We’ve referred the case to the FBI’s Internet Crime Complaint…

Comcast Newsmakers: Sam Reed

Comcast Newsmakers: Sam Reed

Comcast Newsmakers talks with Sam Reed about the various functions of his office. It’s a good summary of the (rather odd) variety of functions the Office of the Secretary of State performs: elections, corporations, charities, archives, legacy project, the state library. The Washington State Library gets excellent treatment, both time-wise and praise-wise. If you’re impatient, you can skip ahead – we’re covered from 1:01 – 2:16.
